Terms of Service

1. Welcome to Kindly
Kindly (“the Platform”) is operated by Chambers Family Ventures (“we,” “us,” or “our”). Kindly is a closed-community marketplace where members of churches and other organizations post needs, share offers, and connect with one another. By creating an account or using Kindly in any way, you agree to these Terms of Service (“Terms”). If you do not agree, please do not use the Platform.
These Terms apply to all users of Kindly, including members, providers, group administrators, and organization accounts.
2. Eligibility
You must be at least 18 years old to create an account on Kindly. If you are between 13 and 17, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Children under 13 may not use Kindly.
Kindly is a closed-community platform. You may only join by entering a valid group code provided by an organization or group administrator. Possession of a group code does not guarantee access; we reserve the right to deny or revoke access at our discretion.
3. Your Account
When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You may belong to multiple groups simultaneously. Your profile information (name, email, avatar, bio, and optional fields like phone number and location) is visible to other members within your groups. You can update or remove optional profile information at any time from your account settings.
Do not share your account credentials with anyone or allow others to access your account. Notify us immediately if you suspect unauthorized access.
4. What Kindly Is (and Isn’t)
Kindly is a connection platform. We help community members discover each other’s needs and offers and facilitate communication between them. We do not employ, endorse, vet, or guarantee any member, provider, or organization on the Platform.
Kindly is not a party to any transaction, exchange, or arrangement made between members. When you respond to a post, schedule a service, give or receive an item, or otherwise interact with another member, that arrangement is solely between you and the other party.
We are not responsible for the quality, safety, legality, or availability of any goods, services, or assistance offered or requested through the Platform.
5. User Conduct
By using Kindly, you agree to:
- Treat all community members with respect and good faith.
- Post only truthful, accurate content. Do not misrepresent your identity, qualifications, or the nature of your needs or offers.
- Respond to commitments in a timely manner. If you agree to help someone or accept an offer, follow through or communicate promptly if circumstances change.
- Respect the privacy of other members. Do not share messages, profile information, or personal details outside the Platform without consent.
- Do not share group codes publicly or with individuals outside your community without authorization from a group administrator.
You agree not to:
- Use the Platform for any illegal purpose or to facilitate illegal transactions.
- Post fraudulent, misleading, or deceptive content, including fake needs or scam offers.
- Harass, threaten, or discriminate against any member.
- Post spam, solicitations, or commercial advertising unrelated to community exchange.
- Attempt to circumvent the Platform’s security, scrape data, or interfere with its operation.
- Upload content that is obscene, hateful, or violates another person’s rights.
- Create multiple accounts to evade bans or restrictions.
Violations may result in content removal, account suspension, or permanent termination at our discretion.
6. User-Generated Content
You retain ownership of the content you post on Kindly, including posts, messages, reviews, photos, and profile information (“Your Content”). By posting content on the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute Your Content solely for the purpose of operating and improving Kindly. This license ends when you delete Your Content or your account, except where Your Content has been shared with others and they have not deleted it.
You are solely responsible for Your Content. You represent that you have the right to post it and that it does not violate any law or infringe any third-party rights.
We may remove or moderate content that violates these Terms or our community standards. Group administrators may also flag or remove posts within their groups.
7. AI Features
Kindly uses artificial intelligence to improve your experience. When you post a need or offer, AI processes your content to:
- Categorize your post (e.g., Transportation, Services, Meals).
- Detect urgency and extract relevant details (budget, location, timing).
- Match your post with relevant offers, needs, or provider profiles.
- Generate suggested response templates to help you communicate.
- Moderate content for community safety.
Our AI features are powered by third-party AI services (currently Anthropic’s Claude API). Your post content is sent to these services for processing. We do not use your private messages for AI training. AI suggestions are recommendations only — you always have the ability to review, edit, or override them.
AI-generated content and suggestions may not always be accurate. We do not guarantee the correctness of AI categorizations, match suggestions, or any other AI-powered feature.
8. Organization and Group Administrator Roles
Organizations (such as churches) subscribe to Kindly and create communities on the Platform. Group administrators manage groups within those communities. Important clarifications:
- Organizations and group administrators are not responsible for the actions, conduct, or exchanges of individual members.
- Group administrators can view member lists and aggregate analytics but cannot access private messages or transaction details between members.
- Organization-posted needs and offers carry the organization’s name but do not create an employer-employee or agency relationship with any member who responds.
- By joining a group, you acknowledge that the organization facilitating that group is not a party to, and bears no liability for, any interaction or exchange you have through Kindly.
9. Payments and Transactions
Kindly does not currently process payments or handle financial transactions. Any exchange of money, goods, or services arranged through the Platform is conducted entirely between the involved members, outside the Platform.
When payment features are introduced in the future, additional terms governing transactions, fees, and disputes will be published and will become part of these Terms.
Regardless of whether payments are processed through Kindly, we are not responsible for the completion, quality, or outcome of any exchange arranged through the Platform.
10. Disclaimers
Kindly is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
You use Kindly at your own risk. You are responsible for evaluating the trustworthiness of other members and the suitability of any exchange before proceeding.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Chambers Family Ventures, its officers, employees, agents, and affiliates shall not be liable for any damages whatsoever — including direct, indirect, incidental, special, consequential, or punitive damages — arising from or related to your use of or inability to use Kindly.
This includes, without limitation, damages arising from: any exchange, transaction, or interaction with another member; personal injury or property damage; reliance on AI-generated content, matches, or suggestions; loss of data or unauthorized access; or actions or omissions of organizations, group administrators, or other members.
Kindly is a free community connection tool. You acknowledge that we provide this Platform at no cost to individual members and that this limitation of liability reflects that arrangement. You assume all risk associated with your use of the Platform and any interactions with other members.
12. Indemnification
You agree to indemnify and hold harmless Chambers Family Ventures, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising from: (a) your use of the Platform, (b) Your Content, (c) your violation of these Terms, or (d) any exchange or interaction with another member.
13. Termination
You may delete your account at any time through your account settings. We may suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Group administrators may also remove members from their groups.
Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive.
14. Dispute Resolution
We encourage you to contact us first at hello@givekindly.co to resolve any disputes informally.
If we cannot resolve a dispute informally, you and Chambers Family Ventures agree to resolve any claims relating to these Terms or the Platform through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in the state of Texas. You agree to arbitrate on an individual basis only — class actions and class arbitrations are not permitted.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the Platform or by email. Your continued use of Kindly after changes take effect constitutes acceptance of the updated Terms.
16. General
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chambers Family Ventures regarding Kindly.
